  1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Learning Management System (the “LMS”) provided by ME Academy (“we,” “our,” or “us”). By accessing or using the LMS, you agree to comply with, and to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue your use of the LMS.

  1. Definitions

2.1 LMS: The Learning Management System platform provided by ME Academy for the delivery of online courses, training programmes, and educational content focused on corporate commercial law.

2.2 User: Any individual or entity that accesses, registers for, or otherwise uses the LMS, including legal professionals, lawyers, trainees, and law firms.

2.3 Content: All materials provided via the LMS, including but not limited to courses, videos, written materials, case studies, quizzes, discussion forums, assignments, and other educational resources.

2.4 Account: A personal, secure profile created by a User to access the LMS, which may include login credentials, course progress data, and personal information.

  1. User Eligibility and Account Creation

3.1 Eligibility: The LMS is intended for individuals who are qualified legal professionals, including lawyers, law students, corporate counsel, and legal trainees. By using the LMS, you represent and warrant that you meet the eligibility requirements.

3.2 Account Creation: To access the LMS, you must create an Account by providing accurate, complete, and up-to-date information. You agree to update your information as necessary to ensure it remains current. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

3.3 Access Restrictions: You agree not to share your Account credentials with third parties. You acknowledge that you are responsible for all actions taken under your Account and agree to notify ME Academy immediately of any unauthorised access.

  1. Licence to Use Content

4.1 Grant of Licence: Subject to these Terms, ME Academy grants you a non-exclusive, non-transferable, revocable, and limited licence to access and use the Content solely for personal, professional development, and educational purposes, in accordance with these Terms. This licence does not grant you any rights to use the Content for commercial purposes without prior written consent from ME Academy.

4.2 Permitted Use: You may view, download, and print Content for personal use and learning purposes only. You may not:

  • Copy, distribute, publish, or reproduce the Content in any form or by any means.
  • Modify, translate, or create derivative works from the Content.
  • Rent, lease, or otherwise transfer any of the rights granted under this licence.
  • Use the Content in any manner that could harm, damage, or impair the LMS or its Content.

4.3 Prohibited Use: You shall not:

  • Use the Content in a way that infringes the intellectual property rights of ME Academy or third parties.
  • Use the LMS or its Content for any unlawful, defamatory, or fraudulent activities.
  • Engage in any activity that may disrupt or interfere with the functioning of the LMS or the Content.

4.4 Intellectual Property Rights: All intellectual property rights, including but not limited to copyrights, patents, trademarks, and design rights, in the LMS and Content are owned by ME Academy or its licensors. Nothing in these Terms shall be construed as transferring any ownership rights to you.

  1. Use of LMS and Content

5.1 Authorized Use: You agree to use the LMS and its Content in a manner that is legal, ethical, and consistent with the objectives of ME Academy. You shall not:

  • Use the LMS to engage in any unlawful, defamatory, fraudulent, or malicious activities.
  • Upload or share any content that is harmful, offensive, or violates the intellectual property rights of others.

5.2 Restrictions: You may not attempt to access any parts of the LMS to which you do not have permission, interfere with the security of the LMS, or disrupt its functionality.

  1. Fees and Payment

6.1 Fees: Access to certain courses and content on the LMS may require payment. All fees are clearly stated on the LMS platform at the time of enrolment. Fees are subject to change, and such changes will be communicated to you in advance.

6.2 Subscription Period: The subscription period for each course is six (6) months from the date of enrolment (“Subscription Period”). During this period, you will have access to the course materials, lectures, quizzes, and other resources associated with the course. After the Subscription Period ends, your access to the course content will be terminated unless otherwise agreed in writing.

6.3 Payment: Payments must be made using the payment methods provided by ME Academy. By enrolling in a course or programme, you authorise ME Academy to charge your chosen payment method for the applicable fees.

6.4 Refunds and Cancellations: Refunds and cancellations are subject to ME Academy’s Refund Policy, which is available on the LMS platform. Any request for a refund must comply with the stated guidelines, and you acknowledge that certain courses may be non-refundable under specific circumstances.

  1. User-Generated Content

7.1 Ownership of User Content: By submitting any content (e.g., assignments, feedback, comments, or discussion forum posts) to the LMS, you grant ME Academy a worldwide, perpetual, royalty-free, sub-licensable, and transferable licence to use, display, modify, reproduce, distribute, and otherwise exploit such content for educational, promotional, and operational purposes.

7.2 Content Guidelines: You agree not to upload or post content that:

  • Violates any laws or infringes the intellectual property rights of third parties.
  • Contains discriminatory, abusive, or harmful language or material.
  • Is irrelevant to the course or intended learning objectives.

7.3 Monitoring and Removal: ME Academy reserves the right to monitor user-generated content and remove any content that violates these Terms or is deemed inappropriate at our sole discretion.

  1. Privacy and Data Protection

8.1 Privacy Policy: Your use of the LMS is governed by ME Academy’s Privacy Policy, which explains how we collect, use, and protect your personal data. By using the LMS, you consent to the practices outlined in the Privacy Policy. Please see our privacy policy here [insert hyperlink]

8.2 Data Security: ME Academy implements reasonable measures to protect the security of your personal data and prevent unauthorised access. However, you acknowledge that no data transmission over the internet can be guaranteed to be 100% secure, and you agree to use the LMS at your own risk.

  1. Termination and Suspension

9.1 Termination by ME Academy: ME Academy may suspend or terminate your access to the LMS at any time, with or without cause, if we believe you have violated these Terms, engaged in illegal activity, or disrupted the integrity of the LMS.

9.2 Termination by User: You may terminate your use of the LMS and deactivate your Account at any time by following the process outlined on the LMS platform.

9.3 Effect of Termination: Upon termination, your access to the LMS and its Content will cease immediately, and any outstanding fees owed to ME Academy will become due. Upon expiration of your Subscription Period, access to the course materials will automatically be revoked unless the Subscription Period is extended or renewed.

  1. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties: The LMS and its Content are provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, ME Academy makes no representations or warranties, either express or implied, regarding the availability, accuracy, reliability, or completeness of the LMS or Content. ME Academy does not warrant that the LMS will be uninterrupted, error-free, or free from viruses or other harmful components.

10.2 Further Disclaimer: ME Academy’s LMS provides general legal information and self-help resources for educational purposes only. The content on our platform should not be considered legal, business, or tax advice, nor is it intended to address any specific factual or legal situation. ME Academy is not a law firm. Your use of the platform does not create an attorney-client relationship between you and ME Academy or any of its representatives. Legal matters can vary greatly depending on jurisdiction, circumstances, and interpretations.   • Indirect, incidental, special, punitive, or consequential damages.
  • Loss of profit, business, data, or goodwill.
  • Personal injury or loss of life arising out of or in connection with your use or inability to use the LMS or its Content.

In no event shall ME Academy’s total liability to you exceed the total amount paid by you to ME Academy for the course or service giving rise to the claim.

10.3 Third-Party Links: The LMS may contain links to third-party websites or resources. ME Academy does not endorse or take responsibility for the content, privacy policies, or practices of any third-party websites.

  1. Indemnification

You agree to indemnify, defend, and hold harmless ME Academy, its affiliates, directors, officers, employees, agents, contractors, and licensors from any and all claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your violation of these Terms.
  • Your use of the LMS.
  • Your violation of any applicable law or regulation.
  • Any third-party claims related to User-generated Content submitted by you.
  1. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

12.2 Dispute Resolution: Any dispute arising from or in connection with these Terms shall be resolved as a final resort by a court of competent jurisdiction in Nigeria. Any dispute arising from or related to the Terms shall first be addressed through mutual negotiations. If no resolution is reached within ten business days of commencing negotiations, the dispute will proceed to mediation.

Mediation shall be initiated by issuing a notice of mediation. The Parties shall agree on a mediator, but if no agreement is reached within ten business days, any Party may request the Lagos State Multi-Door Courthouse to appoint an independent certified mediator. Once appointed, the mediator must convene a session within fifteen business days. Each Party must participate in at least two sessions, and efforts will be made to complete mediation within thirty days of the first session. If any Party chooses to withdraw after the second session, they may do so by issuing a notice of termination of mediation. Mediation costs will be shared equally by all Parties.

If mediation fails to resolve the dispute, the matter will be referred to arbitration under the Arbitration and Mediation Act 2023. A single arbitrator, agreed upon by the Parties, will resolve the dispute. If the Parties cannot agree on an arbitrator within fourteen days of the notice of arbitration, the President of the Chartered Institute of Arbitrators UK, Nigeria Branch, will appoint one, provided the arbitrator has no prior connection with any of the Parties.

The arbitration will take place in Lagos, Nigeria, and proceedings will be conducted in English. The arbitrator will act in accordance with the spirit of the Arbitration and Mediation Act 2023 for any matters not expressly covered by the Terms or the Act. The arbitrator’s decision shall be final and binding on all Parties.

  1. Changes to Terms

ME Academy reserves the right to modify or amend these Terms at any time. Any changes will be posted on the LMS platform, and such changes will become effective immediately upon posting. You are advised to review these Terms periodically to stay informed of any updates.

  1. Miscellaneous

14.1 Entire Agreement: These Terms constitute the entire agreement between you and ME Academy regarding your use of the LMS and supersede all prior agreements or understandings, whether written or oral.

14.2 Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Force Majeure: ME Academy shall not be liable for any delay or failure in performance of its obligations under these Terms if such delay or failure is due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, or technological failures.
